Terms of Use for Management Offices, LLC

Welcome to Management Offices, LLC ("we," "us," or "Service Provider"). By accessing or using our services, you ("Client," "you") agree to these Terms of Use ("Agreement"). Please read them carefully.

1. Acceptance of Terms

By using any services provided by Management Offices, LLC, including consulting, web design, property management, social media management, e-commerce services, or any other service (collectively, "Services"), you agree to comply with and be bound by these terms and conditions. If you do not agree, you may not use our Services.

2. Services Provided

Management Offices, LLC offers various business solutions, including but not limited to:

• Business and administrative operations management

• Web design and development

• Property management services

• Social media and e-commerce management

• Consulting services

We may modify or discontinue services at any time without notice.

3. User Responsibilities

3.1 Eligibility

You must be at least 18 years old and legally able to enter into contracts to use our Services.

3.2 Account Creation

To access certain Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account.

3.3 Compliance

You agree to use our Services in compliance with all applicable laws, rules, and regulations. Any misuse of the Services, such as providing false information, infringing on intellectual property rights, or engaging in illegal activities, is strictly prohibited.

4. Payment and Fees

4.1 Service Fees

Fees for our Services are outlined in the specific service agreements or pricing plans provided to you. Payments are due as specified in these agreements.

4.2 Billing

Payments are due on the first day of the service period unless otherwise agreed upon. We accept payments via major credit cards, online payment systems, and other methods as detailed in your service agreement.

4.3 Late Payments

Late payments may result in the suspension of Services. A late fee may also be applied. Continued non-payment may result in the termination of your account and legal action.

5. Confidentiality

We take your privacy seriously. All information you provide, including financial, business, and personal information, will remain confidential unless disclosure is required by law or necessary to provide the Services.

We use industry-standard encryption and security measures to protect your data, but we cannot guarantee total security against unauthorized access or breaches.

6. Intellectual Property

All content and materials provided through our Services, including but not limited to designs, software, trademarks, and other proprietary information, are owned by Management Offices, LLC or licensed to us. You may not use, copy, distribute, or exploit any content without our explicit permission.

7. Term and Termination

7.1 Term

This Agreement is effective as of the date you begin using our Services and will continue until terminated by either party.

7.2 Termination by Client

You may terminate this Agreement by providing written notice and ceasing to use our Services. Outstanding payments for Services rendered must be settled prior to termination.

7.3 Termination by Service Provider

We reserve the right to terminate or suspend your account if you violate these terms, fail to make payments, or engage in activities that misuse our Services. No refunds will be provided if we terminate your access due to breach of terms.

8. Limitation of Liability

We are not liable for any indirect, incidental, special, or consequential damages arising from your use of our Services. This includes, but is not limited to, financial loss, business interruption, or data breaches, even if we have been advised of such risks.

Our total liability for any claims arising from this Agreement or your use of the Services will not exceed the total fees paid by you to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Management Offices, LLC, its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising from your misuse of the Services, violation of this Agreement, or violation of any applicable laws.

10. Modifications to Services and Terms

We may modify this Agreement or our Services at any time. You will be notified of significant changes to the terms or scope of Services. Continued use of the Services after such modifications constitutes acceptance of the new terms.

11. Governing Law

This Agreement is governed by the laws of the State of New Mexico, without regard to conflict of law principles. Any disputes arising from this Agreement will be settled in the courts located in Santa Fe, New Mexico.

12. Dispute Resolution

If a dispute arises, both parties agree to try to resolve the matter through good-faith negotiations. If resolution cannot be achieved, the dispute may be submitted to mediation or binding arbitration in New Mexico.

13. Force Majeure

We are not liable for delays or failures to perform our obligations due to circumstances beyond our control, including but not limited to natural disasters, wars, government actions, and communication failures.

14. Entire Agreement

This Agreement constitutes the entire understanding between you and Management Offices, LLC regarding your use of the Services. Any amendments or changes must be made in writing and signed by both parties to be valid.

15. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will continue in effect.

By using Management Offices, LLC’s Services, you acknowledge that you have read, understood, and agree to these Terms of Use.
